  • Overview

    A Board of Directors refers to a group of individuals elected to make decisions on behalf of an organization. This governing body can also be referred to as a Board of Trustees or Executive Board.
  • Features

    The members of an organization's Board of Directors are responsible for board governance, organizational governance, linkage with the membership and assurances of executive performance.
 
  • Regulation

    Duties of a board's officers, or those who implement policy, are outlined in the organization's bylaws, or the rules by which the organization governs its affairs. Bylaws do not cover the responsibilities of the board's directors, or those who determine policy.
  • Reference

    Many organizations provide each board member with a written document that explicitly outlines the member's duties and responsibilities while serving on the board.
  • Conflict of Interest

    Organizations typically have a conflict of interest policy, which requires board members to disclose when professional or personal concerns affect their ability to act in the interest of the organization. A member may be required to temporarily or permanently suspend any board-related activities as a result.
  • Evaluation

    A board may periodically evaluate a member's performance in order to make sure that she performs all of her expected duties.
